Terms of Service
Effective July 16, 2026
These Terms govern access to BrainSite's websites, accounts, AI agents, APIs, and related services. By creating an account or using the service, you agree to these Terms. If you use BrainSite for an organization, you confirm that you can bind that organization.
1. Accounts
You must be at least 18 years old and legally able to enter a contract. Give us accurate account information, protect your sign-in credentials, and tell us promptly about unauthorized access. You are responsible for activity under your account.
2. BrainSite agents
You control your agent's public profile, approved knowledge, instructions, channels, and connected services. You are responsible for your content, offers, and use of visitor information.
AI responses can be inaccurate, incomplete, or unsuitable. Review your agent before publishing it and provide human review for decisions affecting health, finances, legal rights, employment, housing, safety, or essential services.
3. Acceptable use
You may not use BrainSite to:
- break the law, violate another person's rights, or evade a legal duty;
- deceive people about whether they are speaking with AI or who operates an agent;
- send spam or messages without legally required consent and unsubscribe options;
- collect passwords, payment-card numbers, government identifiers, or sensitive records unless BrainSite supports that collection and you have a lawful reason;
- publish malware, infringing content, unlawful discrimination, threats, harassment, sexual exploitation, or instructions intended to cause harm;
- probe, disrupt, overload, resell, or bypass the service, access controls, rate limits, or safety measures.
We may remove content, limit an agent, suspend an account, or contact authorities when reasonably necessary.
4. Your content and permissions
You keep ownership of content you submit. You give BrainSite a non-exclusive, worldwide licence to host, copy, process, transmit, display, and adapt that content only as needed to operate, secure, support, and improve the service.
We may use aggregated or de-identified data that does not identify you or a visitor.
5. Our service and intellectual property
BrainSite and its licensors own the service, software, design, trademarks, and documentation, excluding your content. These Terms give you a limited, revocable, non-transferable right to use the service during your account term.
6. Plans, usage, and payment
Plan prices, included usage, features, and transaction fees are shown when you subscribe or buy credit. Taxes may apply. Paid subscriptions renew until cancelled.
You may cancel before the next renewal. Except where law requires otherwise or we state otherwise at purchase, fees and prepaid usage credit are non-refundable. Price changes take effect no earlier than the next renewal after notice.
7. Third-party services
BrainSite may connect to AI providers, payment processors, calendars, CRMs, messaging services, and other third parties. Their terms and privacy practices govern your direct use of their services. You are responsible for connected-service permissions.
8. Privacy
Our Privacy Policy explains how BrainSite handles personal information. If you use BrainSite for your business, you are responsible for your own privacy notices, consent, access procedures, retention choices, and legal compliance.
9. Service changes and availability
We may add, change, or remove features and set reasonable usage limits. We may interrupt the service for maintenance, security, provider failures, or events outside our control. We do not promise uninterrupted or error-free operation.
10. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, create risk for visitors or the service, fail to pay, or expose BrainSite or another person to legal liability.
After termination, your right to use the service ends. Payment duties, ownership, disclaimers, liability limits, indemnity, and dispute terms survive where applicable.
11. Disclaimers
BrainSite is provided on an "as is" and "as available" basis to the extent permitted by law. BrainSite does not provide legal, medical, financial, tax, or other professional advice. Check AI output and booking, payment, or integration actions before relying on them.
12. Limitation of liability
To the extent permitted by law, BrainSite and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, or opportunities.
Our total liability will not exceed the greater of CAD $100 or the amount you paid BrainSite during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
13. Indemnity
If you use BrainSite for a business, you will defend and indemnify BrainSite against third-party claims arising from your content, agent, products or services, violation of these Terms, or violation of another person's rights, except to the extent caused by BrainSite's own breach or misconduct.
14. Governing law and disputes
Ontario law and the federal laws of Canada that apply in Ontario govern these Terms. The courts in Toronto, Ontario have exclusive jurisdiction unless consumer law gives you the right to bring a claim elsewhere. Before filing a claim, contact admin@brainsite.ai and give us 30 days to try to resolve it informally.
15. Changes to these Terms
We may update these Terms for product, business, or legal changes. We will post the revised Terms, update the effective date, and give account owners advance notice of material changes.
